Introduction
This article explains how you can allow an existing investor or other third-party entity to view documents and/or the cap table in your account, often in the context of due diligence. For more information, see this article about Due Diligence and Diligence Tracking.
You can also invite an individual user to view similar information or provide access to this information to new investors or members of your team.
Configure Company Access
Follow these steps to set or adjust the level of access for a third-party entity.
- From the Company Workspace, go to Directory > Companies and Firms.
- Click on the three-bar menu to the right of the entity and select Manage Team.
- Click on Configure Access.
- Select the appropriate level of access and click Save.
Set Data Room Permissions
- From the Company Workspace, go to Directory > Companies and Firms.
- Click on the three-bar menu to the right of the entity and select Manage Team.
- Click on Data Room Permissions.
- A list of all Data Room folders will display. Check the box next to each folder to grant access.
- If you check a root folder, access is granted to all nested folders by default. If you only want to grant access to specific nested folders, expand the root folder and check the nested folders.
- Ther permissions for each folder can be adjusted. You can grant View, Modify, or Modify & Share access, and you can select a date for when their access will expire. Note that nested folders will inherit their permissions from the root folder by default, and can be adjusted as needed.
Manage Team Member Access
The level of access for specific team members can be set at a different level than the level set for the entity. Once Managed Access has been enabled, you can adjust the specific level of access and Data Room permissions for that team member.
- From the Company Workspace, go to Directory > Companies and Firms.
- Click on the three-bar menu to the right of the entity and select Manage Team.
- In the Team Member section, click the three-bar menu for the team member and select Edit Role.
- Select the appropriate level of access for the team member and click Save.
- Click on the three-bar menu and select Edit Permissions or Edit Data Room Access. Follow the steps in the previous sections to adjust their access.
