This article will explain how you can manage and make edits to the stock certificate legends for each of your stock classes. This includes the 1933 Act Legend that is automatically applied to all stock certificates.
- On the Company Workspace, click on the gear icon on the bottom left corner to open the Administration Workspace, and click on Stock Certificate Legend Defaults.
- Here you will see a list of your existing stock certificate groups. Click on the group name, or scroll down to view, add, or manage each legend.
- The Securities Act of 1933 legend is applied to all certificates. If necessary, the legend can be edited or can be reset to the default wording.
- Custom legends can be added for each certificate group. Click Add Legend to create a new legend for a certificate group. Enter the wording of the legend and click Save. Note that multiple legends can be added for each stock certificate group.
- Click the Edit button to change the wording of an existing legend, or you can click the Trash can button to delete the legend.
- Some legends may have a link icon indicating that it was inherited from a different legend. This is commonly seen with Stock Incentive Plans where each grant type under the plan inherits the legend added at the plan level.
- Click Preview Legend to see an example certificate for that certificate group with all applicable legends.
Keep in mind that your changes will only be included in future stock certificates generated on the platform, as well as in-flight certificates that have not yet been fully signed. However, certificates that have already been issued will not be affected.
