Introduction
The Price Per Share Report provides a comprehensive view of share price changes, allowing you to track and analyze fluctuations in relation to equity financing, secondary sales, common stock sales, and stock splits. This report helps provide an accurate list of financing events and intuitive graphical visualization that shows how the share price has changed over time. Benefits of this report include:

Price Per Share Report overview
What events are tracked in the report?
The Price Per Share Report will track price changes in relation to the following events:
- Equity financing: Transactions related to financing such as the conversion of bridge notes or SAFEs, or the sale of preferred stock.
- Secondary sales: A sale of shares from one stockholder to a third party (as opposed to a primary sale from the company to a stockholder).
- Common stock sales: A sale of common stock to an investor to raise capital.
- Stock splits: When a stock class is split to increase or decrease the number of shares, the price per share will change by the same ratio.
Fair Market Value or Price Per Share
The Fair Market Value (FMV) is the value of one share of common stock determined either by a 409A Valuation or a board analysis. The Price Per Share is the amount paid by a stockholder to obtain shares of stock. It is possible for the price per share to match the FMV, but this is not always the case and these numbers should be seen as different figures. Running the Price Per Share Report
The Price Per Share report is found in the Equity & Financing module on the Company Workspace. Click MORE > Price Per Share Report. The report can also be accessed from the left sidebar in the Equity section.
Report anatomy
The report shows all pricing related events over time, and is color coded based on the stock class. The chart tracks the date and price per share for each event, and the table provides additional details for each event. By default, the table is sorted by effective date with the most recent events on the top and can be sorted by the Type column.
Multiple events
Multiple pricing events on the same day are grouped together by type and will display as a single line item on the table. Hovering over the date on the chart will display each event.
Clicking on the Documentation link in the table will display all applicable documentation for the events.
Stock Splits
When a split has occurred, there will be a line on the chart on the date and ratio of the split.
The table will also display a Split Adjusted column. This column will show the adjust price per share to reflect the stock split. Events after the split will display the actual price per share and not be affected by split. Preferred classes can be affected by the split, and might come with additional rules and requirements regarding conversion ratios or multipliers.
Report options
The report can be filtered by share class. Click on Options and select which share class from the dropdown menu.
The summary table can be downloaded in an Excel format. Click on Export Report to download.
The Related Workflows button provides a shortcut to workflows that can affect the Price Per Share Report.

What do I do if I do not see a pricing event or want an entry to be updated? Contact our Support team at support.fps@fidelity.com.
Are pending events listed/considered in this report? No. Only completed transactions are displayed in the report.
What happens to the price per share when a stock split occurs? A stock split can affect both common and preferred stock classes. For common stock, the price per share is calculated automatically based on the split conversion ratio. For example, in a 1:10 forward stock split, the quantity of shares is multiplied by 10 and the price per share is divided by 10 (i.e. 1 share becomes 10 shares, and a price per share of $1.00 becomes $0.10). For preferred stock, each stock class might have different conversion ratios and multipliers that can affect the price differently.
