Introduction
In order to grant shares below Fair Market Value (FMV) changes must be made in the Administration Settings to allow the Grant Shares workflow to accept values other than FMV. Note that this only applies to RSAs, and not to stock options (ISOs or NQOs). Please see this article if you are looking to issue grants above FMV.
Granting shares below fair market value is uncommon and should only be done in consultation with your legal counsel.
Changing Administration Settings
Please note that full company access users will be able to change these settings. If you believe that your permissions should be expanded, consult with the appropriate individual at your company and direct them to these instructions.
- Navigate to the Administration Workspace by either clicking the Gear icon on the bottom left corner, or clicking on Company Workspace and selecting Administration Workspace.
- Under General Settings, click on Workflow Administration.
- Click on Grant Shares or Options Under Stock Incentive Plan.
- Select Yes to allow grants to be priced above or below FMV.
- Scroll to the bottom of the page and click Save.
Changes in the Grant Shares workflow
Once the workflow settings have been changed, there will be some differences in the Grant Shares workflow. The workflow will function similarly but there are some changes at described below.
Getting Started
When you run the Grant Shares workflow, you will have an option to select if the grants will be issued at or above FMV, below FMV, or a mix.
NOTE: if you select the mixed option where some grants are at or above FMV and others below, there will be two steps in the workflow to first list the grants at or above FMV, and then to list the RSAs below FMV.
List Grant Recipients
Click Add Grant on the List Grant Recipients page. Enter in the price per share, which can be below the FMV.
Board Approval & Checkpoint
If you select to use the generated Board Consent to approve the grant, note that the drafted resolution will not include language about the FMV as typically seen with grants issued at or above FMV. If you are unsure what to include on the resolution you should check with your legal counsel.
Frequently Asked Questions
Can I Set the Purchase Price at $0 in the system?
While it depends on your particular circumstances, the platform supports the automated granting of shares at a $0 purchase price. At the Define Distribution step, you will be able to set the price per share regardless of your par value. (Learn more about par value and how it is determined in our blog post, Par Value: More Than Zero.)
Note that if you are looking to grant shares in exchange for contributed intellectual property or services, rather than cash, this is not the recommended method for doing so. If this is what you are hoping to accomplish, you will want to upload documentation explaining this transaction at the Upload Proof of Payment step and you will want to speak with your attorney regarding this documentation.
