Introduction
This article explains how to record a warrant exercise in Fidelity Private Shares, and how to generate or upload the resulting stock certificate.
At this time, the workflow does not generate warrant exercise documents.
- From the Company Workspace, go to Start New Workflow > Equity > Warrant Exercise (upload only).
- Select the warrant from the dropdown menu. Indicate if this was a part of a net exercise, then click Continue.
Note that currently Net Exercises are not supported in Fidelity Private Shares. - Click Document Options to upload the Exercise Document.
- Enter the terms of the warrant exercise, then click Continue.
- Click Document Options to upload proof of payment for the warrant. If you either do not have the proof of payment on hand or do not want to enter proof of payment, you can defer or waive the document. Once you confirm payment and select a document option, click Continue.
- Select if you wish to upload or defer the stock certificate, or to generate the sock certificate in Fidelity Private Shares. Depending on your choice here, there will be separate instructions to follow in the rest of the article.
Resulting Stock Certificate
Choosing Fidelity Private Shares to Generate the Stock Certificate
- If you choose to have the system generate your stock certificates, the next screen will ask you to confirm the information for the stock certificate. Once the information is confirmed, click Continue.
- The next screen will ask if you want to upload any supporting documents. Once any documents you want to include are added, click Continue.
- Once you reach the Checkpoint you will have the opportunity to review all of the information. Depending on your legal involvement settings, once you move pass this step it will be sent to counsel review. Once you have confirmed everything is correct, click Continue.
- After you move past the checkpoint the President and Secretary will be notified they need to sign the stock certificates. Once the certificates are signed, the workflow will automatically complete, and the stock certificates will be put in your Data Room.
Choosing to Defer/Upload the Stock Certificates
- If you choose to defer/upload the stock certificate, the next screen will allow you to upload or defer by clicking on the Document Options button. This screen will also prompt you to enter in the details for the stock certificate. Once you have done this, click Continue.
- The next screen will ask if you want to upload any supporting documents. Once any documents you want to include are added, click Continue.
- Once you reach the Checkpoint you will have the opportunity to review all of the information. Depending on your legal involvement settings, once you move pass this step it will be sent to counsel review. Once you have confirmed everything is correct, click Continue. This will complete the workflow, and the uploaded documents will be moved to the applicable folder(s) in the Data Room.
