Introduction
We want to help ensure our clients have a positive experience using Fidelity Private Shares, but we understand that there can be certain circumstances when companies need to move on. This article will explain the necessary steps to close your account.
1. Reach out!
Email us at support.fps@fidelity.com to let us know you want to close your account. When you do, please let us know the reason for doing so. Did you get acquired or are you planning to close the business? Or are you moving to another platform? The more information you can share about your move and motivations for doing so, the better.
2. Account Access
Your account will remain up and running until your subscription ends, at which time the account will be deactivated.
3. Registered Agent (if applicable)
If you incorporated with us and selected CSC or Harvard Business Services (HBS) as your registered agent, we may manage your relationship with that company, meaning we collect $100 from you at renewal time for those fees, and then relay them to the appropriate company.
NOTE: if you have asked us to maintain the relationship with your registered agent, we will cease doing so once your account closes. It will then be your responsibility to engage directly with your registered agent and continue paying their fees.
If you would like to continue using CSC or HBS as your registered agent and related services, you can contact them directly to arrange that via the CSC or HBS website.
4. You may want to consult an attorney
Please note that closing your account will not affect the general operations of your business. Closing your account does not close your company.
You may want to consult with your attorney about any other operational questions you may have, including, if applicable, closing down your company.
5. Download your cap table and the documents in your Data Room
You will still be able to login to the platform and access your documents after your account has been closed, but you may want to download all the documents of your Data Room, as well as a copy of your cap table and any other reports you feel are important.
If you wish to download the documents in your data room; you can do this by clicking Download Files from the three-bar menu at the top of the Data Room. You can download an Excel version of your cap table or other reports by clicking into each report and selecting Excel export at the top left of the page.
