Introduction
This workflow allows you to create and execute a non-disclosure agreement (NDA) between your company and a third-party. An NDA, sometimes known as a confidentiality agreement, protects information shared between the two parties by restricting how the information may be used and distributed. This workflow does allow you to upload an already executed NDA, however, this article covers how to create a new NDA in the platform.

Getting Started
The NDA workflow is found on the Start New Workflow page in the Corporate Structure section. Select how you wish to create your NDA. The platform has three options: generate and execute the agreement through the platform, upload a drafted NDA to be signed through the platform, or to upload a previously executed NDA.
Note that this workflow will show you the generative option of this workflow.
Enter NDA Information
- Enter the name of the external party. This can be an individual, or an entity like an investment firm. If the third party is not yet a user in your account, you will be prompted to create a new user.
- Select if this is a mutual NDA (each party will be sharing information with the other party), or a one-way NDA (only one party will be sharing information).
- Select the date from which the obligations on the agreement apply. You can select to use the effective date of the agreement, or enter a prior date.
- Select how long the obligations will last after the termination of the NDA. You can select one through five years, in perpetuity, or to enter a custom time frame.
Checkpoint
Review the document(s) generated before continuing. If you need to make any changes, click Edit Document. You can also opt to send the workflow to your legal counsel for review, preview and edit the email sent to the third party, or share the documents with users not connected to this workflow. When ready, click Continue.
Wait for Initialization and Signatures
If the third-party was added as a new user, they will be prompted to create an account and confirm their relationship with your company, and then to sign the NDA.
Once signed by the third party, the workflow will notify the appropriate party at your company to sign the NDA (this is typically the President if no other signatory has been setup in the Workflow Settings).
When fully signed, the third party will be notified, and the agreement will be stored in the Data Room.
